OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW AND OUTSIDE THE U.S.

1.Eligibility.

The MrBeast x Victra Sweepstakes (“Sweepstakes”) is open to legal U.S. residents currently residing in the 50 United States (and D.C.) who are 18 years old or the age of majority in their jurisdiction of residence (19+ in AL/NE; 21+ in MS), whichever is older, at the time of entry (“Entrant”).

Employees, officers, and directors of MrBeastYouTube LLC and ABC Phones of North Carolina, Inc. d/b/a Victra (collectively, “Sponsors”) or any of their respective parents, affiliates, subsidiaries, representatives, agents, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies (collectively, “Sweepstakes Entities”) and members of their immediate families (parents, legal guardians, children, grandparents, grandchildren, spouses or siblings and their respective spouses, regardless of where they live) and those living in their same households, whether or not legally related, are not eligible to enter or win the Sweepstakes.

Participation in the Sweepstakes constitutes Entrant’s full and unconditional agreement to these Official Rules and to Sponsors’ decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements, as set forth herein. Sponsors reserve the right to verify eligibility of winners.

2.Entry Period.

Sweepstakes begins at 12:00 a.m. Eastern Time (“ET”) on January 29, 2024, and ends 11:59 p.m. ET on March 10, 2024 (“Entry Period”). Victra’s computer is the official time keeping device for the Sweepstakes.

3.How to Enter.

During the Entry Period visit https://mrbeast.victra.com, complete and submit the entry form (“Entry Form”), including all requested information (e.g., name, address phone number, email). Upon completion and submission of the Entry Form, Entrant will automatically receive one (1) entry into the Sweepstakes (“Entry”).  LIMIT ONE ENTRY FORM PER PERSON. ADDITIONAL ENTRY FORMS SUBMITTED BY THE SAME PERSON WILL BE DISQUALIFIED.

Following the submission of the Entry, Entrant will receive a confirmation via text message within 24 hours sent to the phone number listed in the Entry Form. The text message will contain a short, optional, marketing survey (4 questions). If Entrant chooses to complete the optional marketing survey and responds to all 4 questions, Entrant will receive four (4) additional Entries into the Sweepstakes (“Bonus Entries”). Entrant must substantively respond to all four questions to receive the Bonus Entries.

Entries must be submitted by Entrant. Automated or bulk Entries or Entries submitted by third parties will be disqualified. Any attempt by any Entrant to obtain more than the stated number of Entries by using multiple and/or different identities, forms, registrations, email addresses, login, or any other methods will void that Entry, and Entrant may be disqualified at Sponsors’ discretion.

Multiple Entrants are not permitted to share the same email address. In the event of a dispute as to the identity of an Entrant, the authorized account holder of the email address used on the entry form will be determinative. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted address.  Sponsors, at their discretion, may require potential winner(s) to show proof of being the authorized account holder. Failure to do so may result in forfeiture of prize. If a dispute cannot be resolved to Sponsors’ reasonable satisfaction, the Entry will be deemed ineligible. Sponsors shall not be responsible for lost, misdirected, misplaced, stolen, tampered with, deleted, or invalid Entries or any expenses incurred in the creation and submission of any Entry. Message, data rates, and wireless access charges may apply to use of a mobile device in connection with Entry.

Sponsors and their agents, affiliates, subsidiaries, representatives, or service providers may use personal information submitted with Entry for purposes of prize fulfillment and/or for future marketing, such as to notify Entrant of a product or promotion that Sponsors believe may be of interest. Sponsors will not sell personal information submitted with Entry.

4.Selection of Winners.

On or about March 11, 2024, Sponsors (or Sponsors’ designee) will select the names of potential prize winners (each, a “Potential Prize Winner”) in a random drawing from among all eligible Entries received during the Entry Period. The odds of winning are based on the number of eligible Entries received.

On or about March 18, 2024, Potential Prize Winners will be notified by email at the email address provided on the Entry Form. It is an Entrant’s responsibility to monitor her/his email account to see if he/she is a Potential Prize Winner. Sponsors are not responsible for and shall not be liable for late, lost, damaged, intercepted, misdirected, or unsuccessful efforts to notify Potential Prize Winners. If Sponsors are unable to contact a Potential Prize Winner, or a Potential Prize Winner has not responded within 48 hours of the notification, is not in compliance with these Official Rules, or declines the prize for any reason prior to award, their prize will be forfeited and, in Sponsors’ discretion, an alternate winner may be selected in a random drawing from among all remaining eligible Entries. Only one alternate drawing will be held, after which any remaining prizes will remain un-rewarded.

ALL POTENTIAL PRIZE WINNERS ARE SUBJECT TO VERIFICATION BY SPONSORS, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. A POTENTIAL PRIZE WINNER IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL THEIR ELIGIBILITY HAS BEEN VERIFIED, AND POTENTIAL PRIZE WINNER HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

Potential Prize Winners may be required to sign and return a Declaration of Eligibility and Liability/Publicity Release or other documents that Sponsors deem necessary to confirm eligibility and, unless prohibited by law, obtain a liability/publicity release. Failure to return any required document by the date requested will deem the applicable Potential Prize Winner ineligible, and their Prize will be forfeited.

5.Prizes and Restrictions.

A total of 610 prizes will be available to be awarded during the Sweepstakes as follows:

• Ten (10) grand prizes (“Grand Prize”), each consisting of a ten-thousand-dollar ($10,000 USD) cash prize.
• One hundred (100) first place prizes (“First Place Prize”), each consisting of one (1) item of branded merchandise from the MrBeast.store (https://mrbeast.store) to be chosen by winner. Item cannot exceed $75 USD in value. Approximate Retail Value (“ARV”): $75 USD
• Five hundred (500) second place prizes (“Second Place Prize”), each consisting of a MrBeast basketball. ARV: $25 USD.

LIMIT ONE (1) PRIZE PER PERSON. ARV of all prizes to be awarded during the Sweepstakes: $120,000 USD. Any difference between ARV and actual value of Prize will not be awarded.

The actual value of any prize awarded may be taxable as income, and any applicable local, state, and federal taxes related to the acceptance and/or use of prize shall be the sole responsibility of the winner. Winners may be required to provide Sponsors with a valid social security number or  tax identification number, as required by applicable law, for tax reporting purposes before the prize will be awarded. If the value of the prize equals or exceeds $600, Sponsors must report the value to the Internal Revenue Service (“IRS”) and will issue an IRS Form 1099 to the winner(s) for the value of the prize received.

Prizes cannot be substituted, assigned, transferred, or redeemed for cash; however, Sponsors reserve the right to make equivalent prize substitutions at its sole discretion. Sponsors will not replace any lost or stolen prizes or components thereof. Prizes cannot be used in conjunction with any other promotion or offer.

All prize details not specified in these Official Rules will be determined in Sponsors’ sole and absolute discretion. Prize details are subject to change, and Sponsors reserve the right in their sole discretion to award additional prizes beyond those stated in these Official Rules. Sponsors will provide Entrants with reasonable notice of any change to the prize details. Unclaimed prizes will be forfeited.

6.General Conditions.

This Sweepstakes is governed by the laws of the United States. Subject to reasonable prior notice to Entrants, Sponsors reserve the right to cancel, suspend, and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, or any other factor beyond Sponsors’ reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsors in their sole discretion. Sponsors are not responsible for lost, late, incomplete, damaged, stolen, misdirected, or illegible Entries; lost, interrupted, or unavailable network, server, or other connections, garbled transmissions or miscommunications, telephone transmission problems; computer or software malfunctions or damage to a user’s computer equipment (software or hardware); technical failures; or other errors or malfunctions of any kind whether human, mechanical, electronic, or otherwise. Proof of sending or submission of Entry Form will not be deemed proof of receipt by Sponsors. Sponsors’ failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

7.WARNING.

ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be attempting to tamper with or undermine the entry process, any website or account associated with the Sweepstakes, and/or the legitimate operation of the Sweepstakes; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. If, for any reason, the Sweepstakes is not capable of running as planned, Sponsor may, in its sole discretion, void any suspect Entries and (a) subject to reasonable prior notice to Entrants, modify the Sweepstakes or suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) award the prize(s) at random from among the eligible, non-suspect Entries received up to the time of the impairment.

8.LIMITATIONS OF LIABILITY; RELEASES; INTELLECTUAL PROPERTY.

By participating in this Sweepstakes, Entrants agree that Sponsors and their respective affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies, website providers, web masters, and their respective officers, directors, employees, representatives, successors, assigns and agents (“Released Parties”) are, to the extent permitted by applicable law, not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of Entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize.

EXCEPT WHERE PROHIBITED BY LAW, BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANTS AGREE THAT THE RELEASED PARTIES WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF A PRIZE, ENTRY, OR PARTICIPATION IN THIS SWEEPSTAKES OR IN ANY SWEEPSTAKES-RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, INVASION OF PRIVACY, OR OTHER INTELLECTUAL PROPERTY RIGHTS, OR MERCHANDISE DELIVERY. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY PRIZE CANNOT BE AWARDED DUE TO INTERRUPTIONS DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, TERRORISM, OR ACTUAL OR THREATENED PUBLIC HEALTH CRISES (INCLUDING, WITHOUT LIMITATION, PANDEMICS AND EPIDEMICS AND ANY GOVERNMENT SHUTDOWNS OR RESTRICTIONS RELATED THERETO).

BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANT AGREES THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITE.

EXCEPT WHERE PROHIBITED BY LAW, PARTICIPATION IN THE SWEEPSTAKES CONSTITUTES WINNERS GRANT TO SPONSORS (WHICH GRANT WILL BE CONFIRMED IN WRITING ON REQUEST OF SPONSORS), AND THE RELEASED PARTIES, THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, AT ANY TIME OR TIMES, EACH WINNER’S NAME, LIKENESS, SOCIAL MEDIA HANDLE, AND BIOGRAPHICAL INFORMATION FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION. NOTHING CONTAINED HEREIN SHALL BE DEEMED TO OBLIGATE SPONSOR TO MAKE USE OF ANY OF THE RIGHTS GRANTED HEREIN AND WINNERS WAIVE ANY RIGHT TO INSPECT OR APPROVE ANY SUCH USE OF ANY AND EVERY NATURE AND KIND AND CONSENT TO ANY SUCH APPROPRIATE AND LEGALLY PERMISSIBLE USE THEREOF.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS SWEEPSTAKES, INCLUDING ALL PRIZES, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

9.Governing Law / Disputes.

Except where prohibited by applicable law, each Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and shall be governed by and construed in accordance with the laws of the state of North Carolina, and the federal laws of the U.S. applicable therein. Entrant hereby accepts the jurisdiction of the federal and state courts within North Carolina with respect to any legal actions, suits or proceedings arising out of or related to this Sweepstakes and agrees not to oppose any action brought in North Carolina on the basis that the courts of North Carolina are not an appropriate or convenient forum for same; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred (not to exceed $10 USD), but in no event attorneys’ fees; (iii) no punitive, incidental, special, consequential or other damages, including, without limitation, lost profits, may be awarded (collectively, “Special Damages”), and Entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. North Carolina law, without reference to North Carolina’s choice of law rules, governs the Sweepstakes and all aspects related hereto.

10.Privacy Policy.

Information submitted by or collected from Entrants in connection with the Sweepstakes shall be subject to Sponsors’ privacy policy, available at https://victra.com/privacy-policy/. By entering this Sweepstakes, Entrant expressly consents to the Sponsors, their agents, and/or representatives, storing, sharing, and using the personal information submitted only for the purposes described in these Official Rules, including for the purpose of administering the Sweepstakes, and in accordance with Sponsors’ respective privacy policies. It is necessary for and in the legitimate interest of Sponsors to use Entrants’ personal data to perform obligations related to the administration of this Sweepstakes.

11.Official Rules; Winners List.

Official Rules can be found by visiting https://victra.com/mrbeastterms. For a list of winners, available after April 18, 2024, please send a self-addressed stamped envelope for receipt by April 30, 2024 to Victra, 8510 Colonnade Center Drive, Suite 300, Raleigh, NC 27615, Attn: Marketing.

12.Miscellaneous.

Any questions, comments, or complaints regarding the Sweepstakes should be directed by email to [email protected].

The invalidity or unenforceability of any provision of these Official Rules or any prize acceptance documents shall not affect the validity or enforceability of any other provision. Should any provision of the Official Rules be determined invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. To the fullest extent permitted by applicable law, Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event of a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy, or terms of use on a Sweepstakes-related website and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern, and control.

13.Sponsors.
